PMSI have a long-standing relationship with Inprova Group, a leading procurement services specialist based in Warrington and backed by LDC. In 2015, Inprova Group wanted to expand its services into the energy procurement space and commissioned PMSI to conduct commercial due diligence on three potential acquisition targets: energyTEAM, Ener-G Procurement, and UES Energy.

Thanks to the successful integration of energyTEAM, Energ-G Procurement, and UES Energy, Inprova Group has become one of the largest players in the energy procurement space.

The three companies now operate as a separate division - Inprova Energy – under the leadership of new MD Michael Dent

Customers are now able to benefit from a wider range of services, whilst the company can leverage is increased scale to help get the best possible deal for them

Our work required us to assess the company’s markets, competitive position and prospects across three areas: Certification, Software and Compliance.

 

Within each of these areas the company operated in various different sub-segments, plus the management team had lots of ideas to further extend the service offering. We therefore prioritised our work based on the current and anticipated future significance of each service line, in order to give a clear opinion on the achievability of the business plan

In May 2014, PMSI was mandated by LDC to provide commercial due diligence (CDD) in support of the management buyout of Stroma, a leading provider of sustainability and compliance solutions to the built environment

The business has continued to grow strongly post-acquisition, and has successfully entered the Building Control segment via a series of acquisitions

PMSI completed a two stage piece of work, with:

  • Full market and competitive environment assessment of each of A&A’s three service areas completed before exclusivity

  • Customer referencing and a business plan achievability assessment completed after exclusivity, with a particular focus on security and timing of future revenue streams with existing customers and cross-selling opportunities

PMSI provided commercial due diligence (CDD) to LDC to support its secondary buyout of Adler and Allan, the £60m-turnover environmental services business. The Harrogate-based company employs more than 450 people and serves the power, utility, telecoms and corporate sectors through a network of 24 depots across the UK. LDC has taken a significant minority stake in Adler and Allan for an undisclosed sum, with the backing of senior debt facilities from HSBC.

The investment will support the organic growth of the business and the development of its existing products and services and deliver funds for opportunistic acquisitions.
